At Offshoring Consultant, we provide business development, consulting, business setup assistance, international client acquisition support, sales and marketing consulting, digital marketing, website development, CRM setup and consulting, automation, lead research and database services, content creation, video creation, training, advisory services and other related professional services.

Our services involve professional time, expertise, established methodologies, systems, templates, research, databases, software, third-party tools, resources, implementation and business-development activities.

Unlike physical products, professional services cannot ordinarily be returned after they have been provided, commenced or resources have been committed.

This No-Refund & Service Cancellation Policy explains the circumstances under which payments may or may not be refunded.

By making a payment, approving an estimate or proposal, booking a service, accepting an invoice, or otherwise engaging Offshoring Consultant, the client acknowledges and agrees to this policy, together with the applicable Terms of Service, estimate, proposal, invoice, statement of work or other written terms applicable to the engagement.


1. Nature of Our Services

Offshoring Consultant provides business-development, consulting, marketing, sales-support, technology, implementation and advisory services.

Our services may include:

  • Consulting and strategy

  • Business-development support

  • International client-acquisition support

  • Sales and marketing support

  • Digital marketing

  • Lead generation and prospect research

  • Lead databases

  • Website development

  • CRM setup and configuration

  • Email and marketing automation

  • Social media services

  • Content creation

  • Video creation

  • Training

  • Business setup assistance

  • SOP and process development

  • Research and analysis

  • Advisory services

  • Other related professional services

Offshoring Consultant does not operate as a client broker or as a provider of guaranteed or ready-made clients.

Payment for our services does not constitute the purchase of a guaranteed client, project, contract, enquiry, sale or revenue opportunity.


2. What the Client Is Paying For

The client is paying for the professional services, work, expertise, systems, resources, implementation, research, support and deliverables included within the applicable scope.

Depending on the service, Offshoring Consultant may use:

  • Existing templates

  • Standardized processes

  • Established workflows

  • Pre-existing methodologies

  • Reusable frameworks

  • Existing databases

  • Lead sources

  • Research resources

  • Previously developed content structures

  • Software and technology

  • Third-party tools

  • Internal systems

  • Standard operating procedures

  • Other resources developed or acquired by Offshoring Consultant

These resources may be used, adapted or implemented for more than one client.

The client therefore acknowledges that payment for a service does not necessarily mean that every component of the service is created exclusively or uniquely for that client.


3. Standardized and Reusable Resources

Offshoring Consultant may use standardized, reusable or pre-existing materials in providing services.

Such materials may include:

  • Templates

  • Documents

  • Frameworks

  • Scripts

  • Workflows

  • SOPs

  • Marketing structures

  • Sales processes

  • CRM configurations

  • Automation structures

  • Research methodologies

  • Lead sources

  • Lead databases

  • Prospect information

  • Content structures

  • Training materials

  • Business-development systems

  • Other internal resources

The same or substantially similar resources may be used for multiple clients, with appropriate modifications or implementation where required.

The use of standardized or reusable resources does not constitute a failure to provide the agreed service and does not, by itself, create a right to a refund.


4. Lead Data and Prospect Information

Where lead databases, prospect information or research data are included in a service, the client acknowledges that such information may originate from:

  • Existing databases

  • Publicly available information

  • Commercial data sources

  • Research platforms

  • Third-party sources

  • Internal research processes

  • Other lawful sources available to Offshoring Consultant

Unless the applicable estimate or written agreement expressly states that leads are exclusive, the client should not assume that a particular lead, prospect, database or source is exclusive to that client.

The same or similar lead sources, databases or prospect information may be used for other clients.

Offshoring Consultant does not guarantee that any particular lead or prospect will:

  • Respond;

  • Be interested;

  • Be qualified;

  • Become a customer;

  • Enter into a contract;

  • Generate revenue; or

  • Remain available.

The client is responsible for using prospect information in accordance with applicable laws, regulations and third-party platform policies.


5. No Guarantee of Clients or Business Opportunities

Offshoring Consultant does not guarantee that a client will receive any particular number of:

  • Client enquiries

  • Leads

  • Qualified leads

  • Meetings

  • Proposals

  • Projects

  • Contracts

  • Customers

  • Sales

  • Revenue

  • Profits

  • Business opportunities

Where international client acquisition is part of the engagement, Offshoring Consultant provides business-development support, systems, strategy, marketing, prospecting and related assistance.

The client understands that successful client acquisition depends on multiple factors, including the client's own efforts and capabilities.

The client may be required to participate in sales activities, respond to prospects, provide proposals, attend meetings, maintain appropriate infrastructure, provide employees and deliver services to prospective customers.


6. No Guarantee of Business Results

Business results cannot be guaranteed.

Results may depend on factors outside Offshoring Consultant's reasonable control, including:

  • Market conditions

  • Competition

  • Client pricing

  • Client service quality

  • Client reputation

  • Client sales capability

  • Client responsiveness

  • Client operational capacity

  • Client staffing

  • Prospect decisions

  • Availability of suitable prospects

  • Advertising platforms

  • Search engines

  • Social-media platforms

  • CRM and software providers

  • Economic conditions

  • Changes in regulations

  • Changes in third-party platform policies

  • Information supplied by the client

Accordingly, failure to achieve a particular business result does not, by itself, constitute grounds for a refund.

Payment is for the agreed professional services and activities, not for a guaranteed commercial outcome.


7. Potential Clients, Projects and Opportunities

From time to time, Offshoring Consultant may discuss:

  • Potential markets

  • Potential industries

  • Potential prospects

  • Potential clients

  • Potential projects

  • Potential requirements

  • Possible business opportunities

  • Illustrative project sizes

  • Possible timelines

  • Potential client-acquisition scenarios

Such discussions are provided for business-development purposes and do not constitute a guarantee that a particular client, project, enquiry or opportunity will become available.

Unless expressly identified in writing as a confirmed engagement or live opportunity, information concerning a potential opportunity should not be interpreted as:

  • A guaranteed client;

  • A confirmed project;

  • A reserved opportunity;

  • A guaranteed enquiry;

  • A commitment to provide business;

  • A promise of future revenue.


8. Illustrative, Sample and Demonstration Materials

Offshoring Consultant may provide sample or illustrative materials to explain its methodologies and services.

These may include:

  • Sample project scopes

  • Sample client requirements

  • Sample proposals

  • Sample SOPs

  • Sample workflows

  • Sample communications

  • Demonstration processes

  • Hypothetical scenarios

  • Sample reports

  • Case examples

  • Sample business-development processes

Unless expressly stated otherwise in writing, these materials are illustrative only.

They should not be interpreted as representing that a particular project, client, requirement, enquiry or opportunity is currently available or guaranteed for the client.

The provision of an illustrative or sample document does not create an obligation on Offshoring Consultant to provide the corresponding project or business opportunity.


9. No-Refund Principle

Because our services involve professional time, expertise, systems, resources, research, implementation, third-party services and allocation of business resources, service fees generally become non-refundable once work has commenced or resources have been committed to the engagement.

This may include commitment of:

  • Professional time

  • Staff or contractor resources

  • Research

  • Strategy

  • Meetings

  • Preparation

  • Website work

  • CRM work

  • Automation work

  • Lead research

  • Database preparation

  • Content creation

  • Video production

  • Design

  • Advertising setup

  • Campaign preparation

  • Software

  • Third-party services

  • Other project resources

Once such work or resources have been committed, the corresponding payment will generally not be refundable merely because the client subsequently decides not to continue.

This policy remains subject to any refund or remedy that is required by applicable law or expressly agreed in writing.


10. When a Payment Becomes Non-Refundable

A payment will generally become non-refundable when one or more of the following has occurred:

  1. Work has commenced;

  2. Professional time has been allocated;

  3. Resources have been committed;

  4. Research or preparation has commenced;

  5. Third-party services have been purchased or activated;

  6. Deliverables or project materials have been prepared;

  7. A consultation or meeting has been scheduled and professional time allocated;

  8. A service has been substantially performed; or

  9. The client has received access to, or benefit from, the relevant service or resources.

The above does not prevent a refund where one is required by applicable law or expressly agreed in writing.


11. Consultation and Strategy Services

Fees paid for consultations, strategy sessions, training, workshops, advisory services, research, analysis or business planning are generally non-refundable once the appointment or engagement has been confirmed and professional time has been allocated.

If the client:

  • Does not attend;

  • Cancels at short notice;

  • Fails to provide required information; or

  • Requests rescheduling after professional time has been allocated,

the applicable fee will generally remain payable.

Rescheduling, where offered, is subject to Offshoring Consultant's availability and applicable service terms.


12. Client Responsibilities

The client is responsible for providing accurate and complete information, documents, access credentials, approvals, content, feedback and other information reasonably required to perform the service.

The client is also responsible for:

  • Reviewing deliverables;

  • Providing timely feedback;

  • Providing approvals;

  • Maintaining required third-party accounts;

  • Providing access to required systems;

  • Providing accurate business information;

  • Participating in agreed processes;

  • Responding to prospects where required;

  • Maintaining suitable operational capacity.

Client delays, non-responsiveness, incomplete information, repeated changes or failure to cooperate will not automatically create a right to a refund.

Where appropriate, timelines may be extended to account for client-caused delays.


13. Client-Initiated Cancellation

A client may request cancellation of an engagement.

However, cancellation does not automatically create a right to a refund.

If work has commenced or Offshoring Consultant has committed professional time, resources, research, preparation, third-party costs or other resources to the engagement, payments already received will generally remain non-refundable.

Any exception must be expressly agreed in writing or required by applicable law.


14. Payment Plans and Installments

Where services are provided through installments or milestone-based payments, each installment represents an agreed payment obligation according to the applicable estimate, proposal, invoice or agreement.

A client may not withhold a scheduled payment solely because:

  • The client has changed their mind;

  • The client has discontinued their business;

  • The client has stopped responding;

  • The client has decided not to use the service;

  • The client has not yet achieved the desired business result; or

  • The client expected a different commercial outcome.

This provision remains subject to rights and remedies available under applicable law and the applicable written agreement.


15. Scope of Services and Change Requests

The scope of each engagement is determined by the applicable:

  • Estimate

  • Proposal

  • Quotation

  • Invoice

  • Statement of Work

  • Service agreement

  • Written confirmation

  • Other applicable written terms

Requests outside the agreed scope may require additional fees.

A disagreement with a strategy, recommendation, methodology, design approach or professional opinion does not by itself constitute a failure to provide the agreed service or create a right to a refund.


16. Deliverables and Revisions

Where specific deliverables or revisions are included, the applicable estimate, proposal or written agreement will determine their scope.

The client is responsible for reviewing deliverables and providing feedback within the applicable timeframe.

Where revisions are included, they will be limited to the agreed scope.

Additional work, substantial changes, new requirements or changes to previously approved work may incur additional charges.


17. Advertising and Digital Marketing Services

Where Offshoring Consultant provides advertising, digital marketing, lead generation, prospecting or campaign-management services, payment is for the agreed professional services and activities.

Advertising expenditure and third-party charges may be separate from professional fees.

Offshoring Consultant does not guarantee:

  • A particular cost per lead;

  • A particular number of leads;

  • Lead quality;

  • Conversion rates;

  • Appointments;

  • Sales;

  • Revenue;

  • Return on advertising expenditure.

Changes in advertising performance, market conditions, platform algorithms or third-party policies do not automatically create a right to a refund.


18. Third-Party Services and Platforms

Our services may involve third-party platforms, including CRM systems, advertising platforms, social-media platforms, hosting providers, domain providers, email services, communication tools and other software.

Offshoring Consultant does not control the:

  • Availability;

  • Algorithms;

  • Policies;

  • Pricing;

  • Technical performance;

  • Account decisions;

  • Restrictions;

  • Suspensions; or

  • Policy enforcement

of third-party providers.

Therefore, interruption, restriction, suspension, modification or termination of a third-party platform does not automatically create a right to a refund of Offshoring Consultant's professional service fees.

Third-party refunds or credits, where available, are governed by the third party's own terms.


19. Third-Party Costs

Where Offshoring Consultant incurs third-party expenses for or on behalf of the client, including software, advertising expenditure, domains, hosting, subscriptions, paid databases, platform charges, production expenses or other external costs, such amounts may be non-refundable once committed or paid.

Any refund available from the third-party provider will be subject to that provider's terms.


20. No Refund Merely Because of Change of Mind

A refund will not ordinarily be available solely because the client:

  • Changes their mind;

  • Changes their business model;

  • Stops operating the business;

  • Decides not to use the deliverables;

  • Does not implement recommendations;

  • Does not follow the recommended strategy;

  • Disagrees with a recommendation;

  • Chooses another service provider;

  • Does not achieve the desired commercial result; or

  • No longer requires the service.

This does not exclude any right or remedy that cannot legally be excluded under applicable law.


21. Chargebacks and Payment Disputes

Before initiating a chargeback or payment dispute, the client is requested to contact Offshoring Consultant and provide details of the issue so that the matter can be reviewed.

Where a chargeback or payment dispute is initiated, Offshoring Consultant may provide the relevant payment provider with appropriate records, including:

  • Estimates

  • Proposals

  • Invoices

  • Payment records

  • Accepted terms

  • Emails

  • Messages

  • Meeting records

  • Deliverables

  • Project records

  • Work performed

  • Other relevant communications

Where services have been provided, commenced or scheduled, Offshoring Consultant may contest a chargeback where appropriate.

Nothing in this section limits any rights available under applicable law or payment-provider rules.


22. Intellectual Property and Reusable Resources

Offshoring Consultant retains ownership of its pre-existing and reusable materials, including:

  • Templates

  • Frameworks

  • Methodologies

  • Processes

  • Workflows

  • Systems

  • Databases

  • Research methodologies

  • Training materials

  • Strategies

  • Documents

  • Content structures

  • Know-how

  • Internal tools

  • Other resources developed or acquired by Offshoring Consultant.

The client's payment for services does not automatically transfer ownership of such underlying materials to the client.

Unless expressly agreed otherwise in writing, the client receives only the rights to use the applicable deliverables for the purpose for which they were provided.


23. Client Materials

The client remains responsible for ensuring that any information, content, images, documents, trademarks, data, credentials or other materials supplied to Offshoring Consultant may lawfully be used for the purposes of the engagement.

The client authorizes Offshoring Consultant to use such materials to perform the agreed services.

The client remains responsible for the accuracy and legality of information supplied by the client.


24. No Legal, Tax, Accounting or Regulated Advice

Unless expressly agreed in writing, Offshoring Consultant's services do not constitute:

  • Legal advice;

  • Tax advice;

  • Accounting advice;

  • Investment advice;

  • Financial advice;

  • Regulatory advice; or

  • Other regulated professional advice.

Clients should obtain advice from appropriately qualified professionals where such advice is required.


25. Service Completion

Where a service has been performed substantially in accordance with the agreed scope, the client's failure to use, implement or commercially benefit from the service does not by itself create a right to a refund.

The client should notify Offshoring Consultant of any material issue concerning the agreed scope or deliverables within a reasonable period so that the matter can be reviewed.


26. Exceptions Required by Applicable Law

This policy establishes the commercial refund and cancellation terms applicable to our services.

Nothing in this policy is intended to exclude, restrict or waive any right, remedy, liability or obligation that cannot legally be excluded or waived under applicable law.

Where applicable law requires a refund, correction, remedy or other relief, that legal requirement will prevail over this policy.


27. Agreement to This Policy

By making payment, approving an estimate or proposal, booking a service, accepting an invoice or otherwise engaging Offshoring Consultant, the client acknowledges that they have had an opportunity to review:

  1. The applicable service description;

  2. The applicable scope;

  3. The applicable pricing and payment terms;

  4. This No-Refund & Service Cancellation Policy;

  5. The Terms of Service; and

  6. Other written terms applicable to the engagement.

The client acknowledges and understands that:

  • Offshoring Consultant provides professional business-development and consulting services;

  • Clients are not guaranteed;

  • Ready-made or guaranteed projects are not being sold;

  • Business results are not guaranteed;

  • Illustrative materials are not guarantees of business opportunities;

  • Standardized and reusable resources may be used across multiple clients;

  • Lead databases or prospect information may not be exclusive unless expressly stated;

  • Service fees generally become non-refundable once work or resource commitment has commenced; and

  • Client participation and cooperation may be required.


28. Relationship With Other Terms

This policy should be read together with the Terms of Service, Privacy Policy and the applicable estimate, proposal, invoice, statement of work or service agreement.

Where a specific written commercial term has been expressly agreed for an individual engagement, that specific term will govern that engagement to the extent expressly agreed, subject to applicable law.


29. Changes to This Policy

Offshoring Consultant may update this policy from time to time.

The version applicable to a particular engagement will generally be the version accepted by the client at or before the relevant transaction, subject to applicable law and any subsequently agreed written terms.
